These Terms and Conditions ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an entity, "Subscriber", "Shop", or "You") and Trimvert Inc. / LogBlues LLC ("Trimvert", "we", "us", or "our"), governing your access to and use of the Trimvert booking engine, subdomains, software-as-a-service application, and related services (collectively, the "Platform").
1. The 0% Service Commission Guarantee
Trimvert guarantees that we do not charge, assess, or withhold any percentage commission, marketplace fee, or discovery surcharge on service fees or tips paid by clients to your business. 100% of your service prices and gratuities belong entirely to your shop.
2. Software License & Calendar Subdomain
Subject to these Terms and active subscription standing, Trimvert grants you a non-exclusive, non-transferable, revocable license to access the Platform and host your private booking subdomain (e.g., [yourshop].trimvert.com). You are responsible for ensuring that all information provided regarding services, pricing, business hours, and staff availability is accurate.
3. Subscription Fees, 14-Day Trial & Billing
- Free Trial: New subscribers receive a 14-day free trial beginning on the date of calendar registration. No subscription fees are assessed during this trial period.
- Monthly Flat SaaS Fee: Following trial conclusion, subscriptions are billed in advance on a recurring monthly cycle at the published tier rate (e.g., $29.00 USD/month).
- No Cancellation Penalties: You may cancel your subscription at any time through your business portal or by contacting [email protected]. Cancellation takes effect at the end of the current billing cycle.
4. 100% Client Data Ownership & Portability
You own your client relationships. Trimvert explicitly acknowledges that all customer contact information, appointment logs, service records, notes, and formula vault data entered into your account are your exclusive property ("Shop Data"). Trimvert will never:
- Market, cross-promote, or direct your clients to competing grooming or wellness providers;
- Sell, lease, or monetize your client contact lists to data brokers or third-party advertisers;
- Withhold your client data upon account closure. You may request a complete CSV/JSON export of your Shop Data at any time.
5. Payment Processing & Connected Accounts
Client payments, chair deposits, and VIP memberships are processed through connected payment integrations (including Stripe). You agree that payment processing is governed by the respective payment processor's services agreement. Trimvert is not a bank, money transmitter, or custodian of client funds; all transaction funds settle directly into your designated financial account (e.g., your designated commercial business checking account).
6. Automated SMS & Telecommunications Compliance
Trimvert provides automated cadence recall SMS, appointment confirmations, and cancellation alerts on behalf of your shop. You agree and represent that:
- All client telephone numbers submitted were provided voluntarily by clients in the course of booking services or requesting reminders;
- All automated messages adhere to applicable telephone consumer protection laws (including the Telephone Consumer Protection Act / TCPA);
- Clients may opt out of automated SMS alerts at any time by replying "STOP", and Trimvert will immediately suppress future automated recalls.
7. Deterministic AI Assistance & Guardrails
The Platform incorporates deterministic AI features (such as Text-to-Rebook, daily morning briefings, and natural language analytics). The AI is read-only and suggestive; it is programmatically barred from executing calendar modifications or charges without deterministic rule verification. Trimvert disclaims liability for unintended calendar discrepancies arising from ambiguous natural-language client communications.
8. Acceptable Use & Account Security
You agree not to use the Platform for unlawful, fraudulent, or harassing purposes, nor to reverse-engineer, decompile, or disrupt Platform infrastructure or Cloudflare Edge workers. You are responsible for safeguarding your portal credentials and access privileges.
9. Limitation of Liability & Disclaimers
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Trimvert Inc. and LogBlues LLC shall not be liable for indirect, punitive, incidental, or consequential damages, loss of business revenue, or appointment cancellations resulting from telecommunication carrier outages, third-party gateway downtime, or edge network disruptions.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising hereunder shall be resolved in the state or federal courts located in Delaware.
